Welcome to Tudae. These Terms of Service ("Terms") govern your use of the Tudae application and website (collectively, the "Service"), operated by HAHASAMMI LTD ("we", "our", "us", or "Tudae").

Eligibility

By using our Service, you represent and warrant that:

• You are at least 18 years of age;
• You are legally able to enter into a binding contract;
• You are not located in a country that is subject to a government embargo, or that has been designated as a "terrorist supporting" country;
• You are not on any list of prohibited or restricted parties;
• You have not been convicted of a felony or indictable offense (or crime of similar severity), a sex crime, or any crime involving violence;
• You are not required to register as a sex offender on any state, federal or local sex offender registry;
• You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

User Accounts

Acceptable Use

You agree not to use the Service:

• In any way that violates any applicable local, state, national, or international law or regulation;
• To impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
• To "stalk", harass, bully, intimidate, or harm another user;
• To send, knowingly receive, upload, download, or use any material that is unlawful, defamatory, abusive, offensive, racist, sexist, homophobic, threatening, harassing, obscene, or otherwise objectionable;
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation;
• To transmit any material that contains viruses, trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm Tudae or users of the Service;
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service;
• To engage in commercial activities such as selling products, promoting services, soliciting other users for services, or distributing advertising or unwanted promotional materials.

Additionally, you agree that you will not:

• Create multiple accounts;
• Use the Service for prostitution, trafficking, or any other illegal sexual conduct;
• Solicit money or other items of value from other users;
• Use our Service to organize meetings with the intent to harm others;
• Post pictures of others without their permission;
• Post obscene, pornographic, or otherwise objectionable content;
• Use automated scripts to collect information from or otherwise interact with the Service;
• Disclose private or personal information about any other user;
• Use the Service in a way that could disable, overburden, damage, or impair the functionality of the Service.

Content Guidelines

This license is for the purpose of operating and improving our Service.

You acknowledge that this license grants us the right to make your Content available to other users of the Service, who may also use your Content subject to these Terms.

Subscriptions and Payments

The Service may offer subscription-based features and premium services for a fee. By purchasing a subscription or premium feature, you agree to the following terms:

• Payment and Billing: You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. All payments are non-refundable unless expressly stated otherwise.

Termination

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, your right to use the Service will immediately cease. If you wish to delete your account, you may do so by following the instructions on the app settings page. We may retain certain information as required by law or as necessary for our legitimate business purposes.

Safety and User Interactions

While we strive to create a safe environment on our Service, we cannot guarantee the conduct of our users. You agree to use caution in all interactions with other users, particularly if you choose to meet in person.

Safety recommendations:

• Meet in public places for initial meetings;
• Tell a friend or family member about your plans;
• Stay sober and clear-headed during initial meetings;
• Arrange your own transportation;
• Keep personal and financial information private;
• Report suspicious or harmful behavior to us and to relevant authorities if necessary.

You understand and acknowledge that:

• We do not conduct criminal background checks on users (unless explicitly stated otherwise);
• We do not verify the statements of users;
• We make no representations or warranties regarding the conduct or compatibility of users.

We reserve the right, but have no obligation, to monitor disputes between you and other users, and to take any action we deem appropriate in our sole discretion.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

HAHASAMMI LTD, its subsidiaries, affiliates, and licensors do not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location;
• Any errors or defects will be corrected;
• The Service is free of viruses or other harmful components;
• The results of using the Service will meet your requirements;
• The quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations.

This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction, or unauthorized access to, alteration of, or use of the Service, whether for breach of contract, tort, negligence, or any other cause of action.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall HAHASAMMI LTD, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service;
• Unauthorized access, use, or alteration of your transmissions or content;
• Statements or conduct of any third party on the Service;
• Any other matter relating to the Service.

In no event shall our total liability to you for all damages exceed the amount you have paid to us over the past twelve months, or, if you have not paid us anything.

The limitations of liability in these Terms will apply even if we have been advised of the possibility of such damages and even if any remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless HAHASAMMI LTD, its directors, officers, employees, agents, contractors, subsidiaries, affiliates, partners, and representatives, from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use of and access to the Service;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right;
• Any claim that your Content caused damage to a third party;
• Any misrepresentation made by you;

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without our prior written consent.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of England and Wales, and you and we irrevocably submit to the exclusive jurisdiction of such courts.

If you are a consumer and have your habitual residence in the EU, you additionally enjoy the protection of the mandatory provisions of the law of your country of residence.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by:

• Posting the updated Terms on our website or within the app;
• Sending an email or providing an in-app notification;
• Updating the "Last Updated" date at the top of these Terms.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or additional terms and conditions published by Tudae on the Service, shall constitute the entire agreement between you and Tudae concerning the Service.

If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
